Please read the following terms and conditions before using any service owned or managed by Sip Social Corp.
- About Sip Social Corp.
- Sip Social Corp. (“we”, “us”, “our”) operate a number of platforms including but not limited to https://sip.social and the Sip Social mobile application (both referred to as “Sip Social” below).

- Application and Agreement to these Terms
- Our terms and conditions ("Terms") govern access to and the use of our app (Sip Social), website (Sip.Social), as well as other tools owned or managed by Sip Social Corp.
- Each time you access any Sip Social service you agree to be bound by these terms, our Privacy Policy, Community Rules.
- Although we provide services so that individuals may connect and enjoy hangout(s), we are not responsible for the hangout(s) themselves, or any consequences of hosting or attending hangout(s) arranged through the Sip Social.
- Age and legal capacity
- Sip Social is intended for users who are at least 21 years old.
- You are not permitted to access or use our services if you are not of legal age to purchase alcohol in the jurisdiction in which you reside and (if applicable) in the jurisdiction in which you are accessing our services.
- Community Guidelines
By using Sip Social, you agree to abide by these community guidelines and any future updates. Thank you for helping to create a positive and enjoyable experience for all users.
- Respect other users and their personal boundaries.
- Do not engage in any discriminatory, harmful, or harassing behavior.
- Keep all communication and interactions on the app appropriate for a public audience.
- Do not share personal information, such as your full name, address, or phone number, with anyone you meet through the app.
- Be mindful of your surroundings and personal safety when meeting up with people from the app in person.
- Do not use the app to promote illegal or harmful activities.
- Keep all interactions on the app respectful and civil. Any disrespectful or inappropriate behavior may result in the removal of your account.
- Sip Social is not responsible for any actions or interactions that occur off the app. Use your own judgment and common sense when meeting with people from the app in person.
- These guidelines may be updated from time to time, so please check back periodically to stay informed.
- Changes to these Terms
- We amend these terms regularly as we work to improve Sip Social and may publish new Terms at any time
- Any modified and/or new Terms will become effective immediately upon posting.
- By using Sip Social you agree that we may provide you notice of new or modified terms by posting them on our website https://sip.social.
- By continuing to access and use Sip Social, you agree to be bound by the new or modified terms.
- Transfer of this Agreement
- We may at any stage transfer our rights and obligations under these terms to another organization. We will always tell you in writing if this happens and we will ensure that the transfer does not affect your rights under the contract (unless mentioned in writing).
- Governing Law
- Any dispute arising out of or in connection with these Terms of Service, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The number of arbitrators shall be one. The seat, or legal place, of arbitration shall be New York, New York, USA. The language to be used in the arbitral proceedings shall be English. The maximum amount of any settlement or award shall not exceed $10,000.
- Changes to Sip Social and Suspension of Services
We may update and change any aspect of Sip Social to reflect our user's needs and our business priorities.
- We may temporarily or permanently suspend/limit the ability to use Sip Social at any stage, without notice.
- We accept no responsibility for any losses financial or otherwise that are caused by changes to or the suspension of Sip Social and any related services.
- The Information on Sip Social
- The content on Sip Social, generated by Sip Social or its users, is provided for general information only.
- It is not intended to amount to information upon which you should or can rely.
- Although we make reasonable efforts to update the information on Sip Social, we make no representations, warranties or guarantees, whether expressed or implied, that the content on our site is accurate, complete or up to date.
- You can use the "Report" button if there is abusive or unwanted content from another User. We will respond to Your request within 24 hours by removing the content or ejecting the User who provided the offending content.
- Responsibility
To the maximum extent permitted by the law, but excluding any liability that cannot be excluded or limited by law, Sip Social is not responsible or liable for:
- Any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with: the use of, or inability to use Sip Social; attendance of any hangouts listed on Sip Social; or use of or reliance on any content displayed on Sip Social. In particular, we will not be liable for any direct, indirect, or consequential loss or damage including but not limited to: loss of profit, loss of business, business interruption, loss of anticipated savings; loss of business opportunity, goodwill or reputation.
- Any damage to devices that are used to access Sip Social that could have been avoided by following our advice to apply an update offered to you free of charge or for damage that was caused by you failing to follow installation instructions correctly or to have in place the minimum system requirements advised by us.
- External Links and Linking to Sip Social
- Where Sip Social contains links to other sites and resources provided by third parties, these links are provided for your information only.
- Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them.
- We have no control over the contents of those sites or resources, save where we control the content such as on our social media channels.
- You may link to Sip Social, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.
- You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.
- You must not establish a link to Sip Social on any website or platform that is not owned by you.
- Sip Social must not be framed on any other site.
- We reserve the right to withdraw linking permission without notice.
- Viruses and Bugs
- We do not guarantee that Sip Social will be secure or free from bugs or viruses
- Users are themselves responsible for configuring your information technology, computer programs and platform to access Sip Social and should use their own virus protection software.
- You must not misuse Sip Social by knowingly introducing viruses, trojans, worms, logic bombs or any other material that is malicious or technologically harmful
- You must not attempt to gain unauthorized access to Sip Social servers on which Sip Social is stored or any server, computer or database connected to Sip Social.
- You must not attack Sip Social via a denial-of-service attack or a distributed denial-of-service attack.
- We will report any such breach to the relevant law enforcement authorities and we will cooperate with those authorities by disclosing your identity to them.
- In the event of such a breach, your right to use Sip Social will cease immediately.
- Communication
- By using Sip Social you give Sip Social and third parties (including venues and event organizers) permission to communicate with you through any means (including but not limited to SMS and email) for the purposes of marketing and to provide you with information relating to any/all aspects of Sip Social.
- You can change your marketing preferences by emailing admin@sip.social
- Use of personal information
- We will only use and will protect your personal information as set out in our Privacy Policy and in accordance with the law.
- Ownership of User Generated Content
- We refer to the events, images, messages and other content you post on Sip Social as “user content”.
- While “user content” belongs to the user who created it, several limitations apply:
- User Content does not refer to your Sip Social username. Should you or Sip Social terminate your account, you do not retain any rights with regards to the username you used. A new Sip Social user may use the username in the future.
- You grant Sip Social and our users a non-exclusive, royalty-free, transferable, sublicensable, worldwide license to use, store, display, reproduce, save, modify, create derivative works, perform and distribute your user content for the purposes of using, accessing, operating, developing and growing Sip Social. Nothing in these Terms restricts other legal rights Sip Social may have to user content.
- We retain the right to remove or modify user content, or change the way it is used on Sip Social, for any reason. This includes, but is not limited to, user content that in our judgment violates these Terms, our community rules, or any other policies.
- Content you share with others on Sip Social may continue to exist on Sip Social even if you leave our platforms. We may backup, archive and retain your user content even if you terminate or deactivate your account, or delete or remove specific user content. Sip Social and its users may retain and continue to use, store, display, reproduce, modify, create derivative works, perform, and distribute any of your user content that other users have stored or shared on Sip Social.
- Revoking access to Sip Social
We retain the right to and won't hesitate to revoke and remove any user on Sip Social who we deem to have not adhered to these Terms or any of the other policies that govern the use and operation of our platforms.
- Intellectual Property Ownership
- Sip Social, including material/content on the platform, trademarks and logos are the intellectual property of Sip Social Corp. and should not be used without our prior written consent.
- "As is"
- Sip Social will not become involved in any domestic or private disputes between its users and does not provide any arbitration or settlement services should a dispute arise between users.
- We do not represent or warrant to you that: (1) Your use of Sip Social will meet your requirements and expectations; (2) Your use of Sip Social will be uninterrupted, timely, secure, or error-free; (3) any information or content obtained on or through Sip Social will be accurate, complete, current, reliable, secure, or lawful; (4) any results of or in connection with your use of Sip Social will meet your requirements or expectations; and (5) that defects in the operation or functionality of Sip Social will be corrected.
- Sip Social undertakes to comply with the security legal obligations and to adopt all security measures that are mandatory under applicable law. However, Sip Social cannot and does not warrant that internet transmissions are completely private or secure, that any information may not be read or intercepted by others, or that there will not be any viruses, other harmful elements in the content. Correlatively Sip Social cannot accept any liability deriving therefrom.
- You accept that we expressly disclaim all warranties and conditions of any kind, whether express or implied, including without limitations the implied warranties and conditions of Merchantability, Fitness for a Particular Purpose, and Non-Infringement.
- Limitation of Liability
- Sip Social assumes no liability of any kind whatsoever for any outcome of any interaction (online or offline) resulting from the Hangout (including the cancellation of an Hangout), Content or Sip Social Services (including any resulting health issues, physical or mental harm, accident, or injury that you may suffer). You are advised to exercise good judgment and caution when acting on the information available through the Sip Social Services.
- Similarly, Sip Social excludes liability for the content that users send to Sip Social via email or any other means, therefore, the users being liable for content or contributions sent by them. No matter how you provide information about yourself, Sip Social is not responsible for false information or unsuccessful meet/tasteless food/drinks or the closed venues.
- Similarly, Sip Social is not liable for the use that users make of the content of the services or their passwords, and any other material contained on the services that potentially constitutes a violation of any regulations, national or international, of the rights of intellectual property or other rights of third parties.
- Similarly, Sip Social will not be held liable for any possible security errors that may occur through the use of outdated versions of browsers or operating systems, or for any consequences that may arise from either improper configuration, computer virus or any other cause not directly related to Sip Social
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIP SOCIAL, AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS SHALL NOT BE LIABLE UNDER ANY THEORY OF LAW OR IN EQUITY FOR ANY DIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE OR OTHER DAMAGES, OR ANY BUSINESS INTERRUPTION, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM THE USE OF INABILITY TO USE OUR SERVICE OR ITS CONTENT; ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONTENT OR CONDUCT OF OTHER USERS OR THIRD PARTIES; UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES IN THE SERVICE OR THE CONTENT; OR (III) ANY OTHER MATTER RELATING TO THE SERVICE OR THE CONTENT, EVEN IF SIP SOCIAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IF YOU ARE DISSATISFIED WITH THE SERVICE, THE CONTENT OR WITH THE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SERVICE. IN THOSE STATES WHERE THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES MAY NOT APPLY, ANY LIABILITY FOR ALL CLAIMS BROUGHT AGAINST SIP SOCIAL, AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES OR AGENTS IS LIMITED AND WARRANTIES ARE EXCLUDED TO THE GREATEST EXTENT PERMITTED BY LAW, BUT SHALL, IN NO EVENT, EXCEED $100.00.
- Liability of the User
- You may not publish content that contains advertising or commercial messages. You may not send messages of a commercial nature to your Sip Social hangout attendees/host via the app. Only you are responsible for ensuring that your interaction with other users is lawful.
- The content of your private photos may not contain illegal, inflammatory or grossly obscene material. It will be at Sip Social’s discretion to delete content if so deemed. You are responsible for ensuring that message content is appropriate.
- You are entirely responsible for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account or any other breach of security of which you become aware. You are responsible for taking precautions and providing security measures best suited for Your situation and intended use of the Services.
